1. Agreement to Terms

By accessing or using Preppsy (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part, you may not use the Service.

These Terms constitute a legally binding agreement between you ("User", "Student", "Instructor", or "you") and Preppsy ("Company", "we", "us", "our").

Educational organization using Preppsy for classes

3. Account Registration

• You must be 13+ years old (16+ in EU/UK) to create an account
• Provide accurate, complete registration information
• Maintain confidentiality of your credentials
• Notify us immediately of unauthorized access
• One account per person; no sharing or transfer

We may refuse or terminate accounts that violate these Terms.

4. Subscription & Billing

4.1 Free Tier

Preppsy offers a free tier for individual students with core features. No credit card required.

4.2 Paid Plans

• Pro: Advanced analytics, unlimited documents, priority AI
• Institution: Class dashboard, LTI integration, SSO, bulk licensing

4.3 Billing

• Subscriptions auto-renew unless cancelled 24+ hours before period end
• Prices may change with 30 days notice
• Refunds: 14-day money-back guarantee for first purchase
• Institutional contracts governed by separate agreement

5. Acceptable Use

You agree NOT to:

• Upload copyrighted material without authorization
• Attempt to extract or reverse-engineer our question bank or pedagogy models
• Use automated tools to scrape, crawl, or bulk-download content
• Share accounts or circumvent user limits
• Interfere with service integrity, security, or performance
• Generate harmful content (medical advice, self-harm, violence)
• Impersonate others or provide false credentials
• Use Preppsy for commercial tutoring without license

6. Intellectual Property

6.1 Preppsy Content

All Preppsy Content (question bank, ontology, pedagogy engine, teaching assets, software) is our proprietary property. Protected by copyright, trade secret, and database rights.

6.2 User Content

You retain ownership of your uploaded content. By uploading, you grant us a worldwide, royalty-free license to: process, store, embed, generate derivatives (questions, summaries), and display within your account.

6.3 Generated Content

AI-generated explanations, questions, and teaching assets created from your content are licensed to you for personal/educational use. We retain rights to improve our models with anonymized aggregates.

7. AI & Pedagogy Disclaimers

• AI outputs are grounded in your materials but not guaranteed error-free
• Mastery scores indicate retrieval strength, not clinical competence
• Exam readiness predictions are estimates, not guarantees

8. User Data & Privacy

Your data is governed by our Privacy Policy. By using Preppsy, you consent to data processing as described therein.

9. Termination

• You may delete your account anytime via Settings → Delete Account
• We may suspend/terminate for Terms violations with notice (immediate for severe violations)
• Upon termination: license ends, data deleted per Privacy Policy, subscriptions cancelled
• Surviving clauses: IP, Disclaimers, Limitation of Liability, Indemnification

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR UNINTERRUPTED ACCESS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Preppsy SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LEARNING OUTCOMES, EXAM RESULTS, OR PROFITS. TOTAL LIABILITY SHALL NOT EXCEED FEES PAID IN PRECEDING 12 MONTHS OR $100, WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify and hold Preppsy harmless from claims arising from: your User Content, violation of these Terms, violation of third-party rights, or your use of the Service.

13. Governing Law & Dispute Resolution

• Governing Law: Laws of [Jurisdiction], excluding conflict of laws
• Disputes: Good-faith negotiation → Mediation → Binding arbitration (ICC Rules)
• Class Action Waiver: Claims must be brought individually
• Consumer Rights: Notwithstanding, EU/UK consumers retain statutory rights

14. General Provisions

• Entire Agreement: These Terms + Privacy Policy = entire agreement
• Severability: Invalid provisions severed; remainder enforced
• No Waiver: Failure to enforce ≠ waiver of right
• Assignment: We may assign; you may not without consent
• Force Majeure: Not liable for events beyond reasonable control
